If you stay you forfeit a huge lawsuit. You have documentation I wouldn't stay I would sie.

Dont stay with them. They knew this was going on and decided to bury their head. The only reason they gave you the offer is that the clients were leaving with you. They will pull this again in the future. Go with the better company.

if the offer is better, and can be bettered with the recent counter offer, and the working environment better, then leave. you were happy to leave whether or not a counter offer was made. and you have revealed how ugly and dirty the HR was. So why stay? But make sure that your former company will not paint an ugly picture of you if you are committed.

The problem is if you stay, your employer will likely see you as a whistle blower and most other employees will act the same - a bit nervous and scared about what they can and cannot say around and to you. If the new company knows the circumstances under which you are leaving your old employer, even if they hire you and it's a good monetary deal, they very well may think of you in the same way. Either company is likely to be uncomfortable with you there. You and your family are the only ones who can make the decision. Just do your best to come out on top.

Your daughter is right they will never respect you. Leave and take your clients and watch the company drown. I hate ageist people.

Stay one more year only to lock in retirement goals: max the higher salary, extract every benefit, and get written guarantees tied to client control.

Treat this as a paid exit runway, not reconciliation. They already showed their hand—now you play yours, deliberately. Set a private exit date and a savings target (retirement dreams funded), so emotion never turns “temporary” into another decade.

Accept only if your role changes publicly: board-facing title, age-discrimination training led by you, and HR accountability written into policy.

They want to KEEP the clients. They WILL most likely resign them, to some favorable contract, that doesn't include you. IF you feel like you MUST STAY, do it on your own terms. A GUARANTEED CONTRACT, with a 25% raise, and NO trying to force you out, some other way. And a GUARANTEED PENSION. IF those clients are worth keeping, THEY will demand that YOU continue to rep them. If they won't give you what you ask for, take YOUR clients to the NEW JOB. 40% of their revenue WON'T be easy to recoup, quickly.
